Land Search Sample 11 - entire floor of office premises with leased units

a.

Share in the lot of the property not specified

It is likely that the property to which the land register relates is part of a building which is still owned by a single owner. Therefore, no deed of mutual covenant has been entered into and the land register does not specify the number of undivided shares in the lot allocated to the property. The property has been leased out in separate units to different tenants: see the "Nature" and "Remarks" columns of the "Incumbrances" section.

   
b.

Agreement relating to naming rights memorial number UB3833011

This agreement is in favour of ABC Bank Limited. As the name of the document implies, it gives the bank the right to name the building for a particular consideration and in accordance with the terms of the agreement.

   
c.

Lease with plan memorial number UB3876529 and lease with plan memorial number UB5143521

Lease memorial number UB3876529 relates to suites 1001 to 1005A (that is, part of the property to which the land register relates) and the term is three years from 24 August 1991 to 23 August 1994 with an option to renew for three years. The lessee (Grand (HK) Limited) has apparently not exercised the option to renew because suites 1001-6 were leased to another lessee (Asian Company Limited) for three years from 5 October 1994 to 4 October 1997 by lease memorial number UB5143521.

An option to renew is a contractual right given to the lessee/tenant to renew the tenancy. The terms and conditions such as the time within which to exercise such option, the term of years and the rent of the renewed term are usually specified in the tenancy agreement granting the option.

Lease with plan memorial number UB4017402, surrender agreement memorial number UB5209865, lease with plan memorial number UB5209866 and surrender agreement memorial number UB5425390

The tenant under lease memorial number UB4017402 is Toto Company Limited. Under that lease, suites 1008 to 1010 of the property was leased for a term of six years commencing on 1 October 1991 with an option to renew for another three years. Toto Company Limited did not continue with the full term of the lease because a surrender agreement under memorial number UB5209865 was entered into on 29 December 1994. On the same day, Toto Company Limited entered into another lease (memorial number UB5209866) for suite 1007A for a term of three years and 12 days from 3 December 1994. However, a surrender agreement was entered into on 6 October 1995 under memorial number UB5425390 to surrender this lease.

Where the landlord and the tenant agree on an early termination of tenancy, it is prudent for them to enter into a surrender agreement. The surrender agreement would normally provide for the date and other terms of surrender such as the forfeiture or return of deposit (as the case may be) and is usually made by deed. The parties would normally release each other from further obligations and liabilities under the original tenancy agreement which will thenceforth be cancelled and have no further effect.

Sub-lease with plan memorial number UB4567251

This sub-lease was made in favour of the sub-tenant Big Limited. The sub-tenancy related to suites 1004-1005A which formed part of the premises that the head tenant Grand (HK) Limited had leased under lease with plan memorial number UB3876529.

Estate agents handling subletting of properties should review the head lease between the landlord and the head tenant to see if there is any restriction on subletting and whether prior consent for subletting has to be obtained from the landlord. The terms of the sub-lease between the head tenant and the sub-tenant shall be subject to the terms of the head lease between the landlord and the head tenant. The term under the sub-lease agreement should expire before the expiry of the lease term under the head lease.

Lease with plan memorial number UB6348424 and assignment of lease memorial number UB6743239

ABC Company Limited was the tenant under lease memorial number UB6348424 but it assigned its rights and obligations thereunder by way of the assignment of lease (memorial number UB6743239) to XYZ Company Limited. Estate agents handling this transaction should review lease memorial number UB6348424 to see if there is any restriction on assignment, and whether prior consent for the assignment has to be obtained from the landlord.

If a head tenant assigns his lease, he grants his whole estate in the leased property to his assignee, putting the assignee in his place as the immediate tenant of the head landlord. If he grants a sub-lease, he does not cease to be tenant under the head lease. If the head tenant disposes of the whole residual term under the head lease, the transaction operates as an assignment, not a sub-lease.
