Land Search Sample 10 - shop space subject to sub-deed of mutual covenant

a.

Two land lots

It is noted that the property is situated on two different lots. This is not unusual. In fact, many buildings are built on two or more different lots of land.

Consideration paid under assignment memorial number UB4260134

Assignment memorial number UB4260134 involves a consideration of $69 million. The notation "PT" after the amount of consideration stated in the land register stands for "part" and indicates that the property forms only part of what Good Development Limited acquired by the assignment for $69 million.

Occupation permit memorial number UB1857545

This document usually specifies the user and the number of units and floors of the building concerned. The occupation permit in this example should show that the second floor of the building is for non-domestic use of shops.

If the occupation permit does specify the user or the number of units on a floor but there are more or fewer units than shown on the plans, a purchaser must take heed and ascertain whether the existing partitioning of the unit is proper and can be used for the purpose intended. Professional advice should be obtained if there is a discrepancy between what is stated in the occupation permit and the actual number of units. The use of premises for purposes other than those permitted by the Building Authority may result in government re-entry.

Sub-deed of mutual covenant with plan memorial number UB4363710

A sub-deed of mutual covenant is made when owners of certain units or part of the building wish to enter into an additional deed of mutual covenant with each other to define their respective rights and obligations in respect of such part of the building. It is commonly found in commercial properties which have been partitioned or re-partitioned. A copy of the sub-deed of mutual covenant may be obtained from the Land Registry in order to ascertain its content. If there is a partitioning or repartitioning of units, care should be taken to ascertain if such partitioning/re-partitioning is in breach of the Buildings Ordinance, government lease/grant or deed of mutual covenant, etc.

It should be noted that a plan is annexed to assignment memorial number UB4552523. Plans are also annexed to Deed of Mutual Covenant memorial number UB1908018, deed poll memorial number UB4278650 and sub-deed of mutual covenant memorial number UB4363710.

In the sale and purchase of commercial properties, especially where there is any subsequent partitioning or re-partitioning, it is always advisable to obtain the relevant plan(s) of the property beforehand so as to identify the property to be purchased, including its location, size and dimensions. Attention is also drawn to the matters mentioned in paragraph (d) above.
